Earth Energy Renewables (“EER”), a pre-revenue biomass company that creates high-value green alternatives to petroleum-based products, has been acquired by Ara Partners, a global private equity firm focused on industrial decarbonization, as a result of a §363 sale process out of chapter 11 in the U.S. Bankruptcy Court. Eric B. Terry was the Subchapter V Operating Trustee for the Estate on the transaction.
CohnReznick Capital acted as the exclusive Investment Banker to the Trustee.
Macco Restructuring Group acted as Financial Advisors, with Jerry Thompson, Managing Director, Kathy Mayle, Senior Director, and Micah Miller, Director, representing MACCO as advisors to the Sub Chapter V Operating Trustee.
The law firm Chamberlain Hrdlicka in Houston acted as counsel to the Trustee. The team included Jarrod Martin, Co-chair of Chamberlain’s Bankruptcy, Restructuring, & Creditor Rights practice. Mr. Martin was assisted in this transaction by Amy Moss, David B. Sheinbein, Aly Dossa, Matthew J. Stirneman, and Tyler W. Greenwood.
Founded on biotechnology research and engineering originally conducted at Texas A&M University, Earth Energy Renewables developed a novel and economical process for converting low-value bio-degradable organic wastes into high-value bio-chemicals. The innovative, proprietary design and technology transmutes wet organic waste into high-value C2 to C8 Organic Fatty Acids used in foods and pharmaceuticals, with potential expansion into biofuels.
